These Terms & Conditions (“Terms”) govern your access to and use of our website, services, software platform, APIs, messaging solutions, and communication infrastructure including but not limited to WhatsApp Official Business API and RCS Business Messaging services.

By accessing or using our services, you agree to be legally bound by these Terms under applicable Indian laws including the Indian Contract Act, 1872 and the Information Technology Act, 2000.

If you do not agree with these Terms, you must not use our services.

2. Definitions

  • “Services” means messaging services, WhatsApp Business API enablement, RCS messaging services, campaign management, automation tools, analytics dashboard, and related communication services.
  • “Client” / “User” means any individual, company, or entity using our services.
  • “WhatsApp Official API” refers to Meta’s officially approved WhatsApp Business API platform.
  • “RCS” means Rich Communication Services provided via telecom operators and Google’s RCS infrastructure.
  • “Platform” refers to Shri Sampada Telecom’s software interface and communication systems.
  • “End Users” means recipients of messages sent by our Clients.
  • “Meta” refers to Meta Platforms, Inc., owner of WhatsApp.
  • “Telecom Operators” refers to licensed telecom providers facilitating RCS or SMS routing.

3. Acceptance of Terms

By registering an account, signing a service agreement, or using any Services provided by Shri Sampada Telecom, you confirm that:

  • You have read and understood these Terms.
  • You agree to comply with all applicable laws and messaging regulations.
  • You accept WhatsApp and RCS platform policies.

These Terms constitute a legally binding agreement.

4. Description of Services

Shri Sampada Telecom provides:

  • WhatsApp Official Business API onboarding
  • RCS Business Messaging solutions
  • Messaging automation and chatbot integration
  • Bulk and transactional message routing
  • Campaign analytics and reporting
  • Customer engagement tools

We act as a technology service provider and intermediary. Final approval of WhatsApp API accounts rests solely with Meta.

5. Eligibility

To use our Services, you must:

  • Be at least 18 years of age.
  • Be legally authorized to represent your business.
  • Provide valid business registration and compliance documents when required.
  • Comply with all Indian telecom and IT regulations.

We reserve the right to deny services to any entity that does not meet compliance requirements.

6. Account Registration

Users must provide accurate and complete information during registration.

You are responsible for:

  • Maintaining confidentiality of login credentials.
  • All activity conducted through your account.
  • Immediately notifying us of unauthorized access.

We may suspend accounts for inaccurate information or policy violations.

7. User Responsibilities

Clients agree:

  • To obtain explicit consent (opt-in) from recipients before sending messages.
  • Not to send spam, phishing, fraudulent, illegal, or misleading content.
  • Not to promote prohibited categories under Meta or RCS guidelines (including illegal products, gambling without license, adult content, etc.).
  • To comply with TRAI regulations and Indian IT laws.

You bear full responsibility for message content.

8. Payment & Billing Terms

  • Fees are charged as per agreed pricing plans.
  • Payments must be made in advance unless otherwise agreed.
  • Messaging charges (WhatsApp conversations, RCS sessions, etc.) are usage-based.
  • All payments are non-refundable unless stated in writing.

Late payments may result in suspension.

9. Subscription Renewal & Termination

Subscriptions renew as per agreed billing cycles.

We may suspend or terminate services:

  • For non-payment
  • For policy violations
  • For misuse of platform
  • Upon legal or regulatory direction

Users may request termination via written notice. Outstanding dues must be cleared before closure.

10. Use of WhatsApp Official API & RCS

Clients must adhere to:

  • Meta WhatsApp Business Policy
  • WhatsApp Commerce Policy
  • Google RCS Business Messaging guidelines
  • Telecom operator requirements

Shri Sampada Telecom does not guarantee WhatsApp account approval or message delivery, as such approvals are controlled by Meta and telecom operators.

11. Message Delivery & Compliance Policy

We do not guarantee:

  • 100% message delivery
  • Real-time message routing
  • Continuous uptime without interruption

Delivery depends on:

  • Recipient device compatibility
  • Telecom network stability
  • Meta’s infrastructure
  • Internet connectivity

Clients must maintain consent records and comply with DLT regulations where applicable.

12. Intellectual Property Rights

All software, systems, branding, and platform design belong exclusively to Shri Sampada Telecom.

Clients retain ownership of their business data and message content.

Unauthorized copying, reverse engineering, or redistribution is strictly prohibited.

13. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business information
  • Technical documentation
  • Client data
  • Pricing terms

Confidential information shall not be disclosed except where legally required.

14. Disclaimer of Warranties

Services are provided on an “as-is” and “as-available” basis.

We do not warrant:

  • Uninterrupted service
  • Error-free operation
  • Guaranteed approval from Meta or telecom providers

We disclaim all implied warranties including merchantability and fitness for a particular purpose.

15. Limitation of Liability

To the maximum extent permitted under Indian law:

Shri Sampada Telecom shall not be liable for:

  • Indirect or consequential damages
  • Loss of business or revenue
  • Data loss due to third-party platform failures
  • Account bans imposed by Meta

Our total liability shall not exceed the fees paid in the preceding three months.

16. Indemnification

Clients agree to indemnify and hold harmless Shri Sampada Telecom from:

  • Claims arising from illegal messaging
  • Regulatory penalties
  • Intellectual property infringement
  • Data privacy violations caused by client misuse

17. Governing Law (India)

These Terms are governed by the laws of India.

Jurisdiction shall lie exclusively with the courts of Pune, Maharashtra.

18. Changes to Terms

We may update these Terms at any time.

Updated versions will be posted on our website with revised effective dates.

Continued use of services implies acceptance of updated Terms.
